Please read the following Terms of Agreement. Your order with us constitutes your acceptance of our Terms & Conditions of Agreement.

GENERAL TERMS
Thank you for considering Iris Website Design for your project. Once you have read and accepted these Terms & Conditions of Agreement, please forward a non-refundable 50% deposit of the total amount towards the total cost of your order. Receipt of this payment will be acknowledged.

PAYMENT METHODS
Iris Website Design offer a variety of ways to pay.
1. Cheque: A Sterling cheque made payable to Mr A. Allwood and sent to Iris Website Design, 31 Springfield Road, St Leonards on Sea, East Sussex, TN38 0TY, UK
2. Bank Transfer: Please ask for details of how to make a bank transfer
3. Paypal: Paypal enables Iris website design to accept payments online by clients wishing to pay by credit or debit cards. There is a 4% surcharge when paying by this method.

STAGE 1: PROVIDING THE CONTENT
Once your initial payment has been received Iris Website Design will register your chosen domain name and proceed to reproduce your text and graphics and produce a layout for you to approve.

You can send us the text of the pages electronically by e-mail, or by post on CD/ROM which allows Iris Website Design to copy and paste the text into your Web pages.

If only typewritten text is supplied, then an extra charge of £7.50 (seven pounds fifty pence) per A4 page will be charged to cover conversion to electronic format. The typewritten copy must be clear (i.e. no hand-written instructions or comments). No handwritten documents will be accepted by Iris Website Design.

Drawings, logos, and photos may be sent electronically (we prefer to receive photos in JPG/JPEG/PNG format and drawings in GIF). If this is not possible Iris Website Design can scan the originals, as is, without modification. There is no extra charge for this service. Please include a Stamped Self-Addressed Envelope if you require the originals returned.

Communications between you and Iris Website Design, for the content of your website, will be through e-mail and/or the postal service. This also applies to any future updates to your pages and/or the creation of new pages.

Assuming that all your materials are received at the same time, we will undertake to complete Stage 1 within one week.

Iris Website Design will freely undertake to make minor changes suggested by you, such as spelling errors and change of colour. Major changes (e.g. new text, photos or drawings) you wish to make will incur a charge of between £5 (five pounds) up to a maximum of £20 (twenty pounds) per page. It is therefore to your benefit to ensure that the copy you have supplied to us has been thoroughly checked by you beforehand for accuracy.

STAGE 2
Once any changes described in the paragraph above have been completed and approved by you, the final amount owing to us, (including any additional charges incurred), will be invoiced to you and on receipt of your payment we will upload your website to a commercial server.

ALTERATIONS
If you need to make further small changes such as dates, spelling errors, background colour, addresses, you can send us these changes quoting your reference number and we will implement them FREE OF CHARGE for up to two pages. You need to do this within 6 weeks of commencement of your website. If changes need to be made in more than two pages then small changes will carry a fee of £5 (five pounds) per page.

Larger changes £15.00 (e.g. repositioning or changing graphics)
Completely new page (including three graphics) £55.00.

OWNERSHIP & INTELLECTUAL COPYRIGHT
Iris Website Design will hold intellectual copyright of any material, including any source code, created for the client until payment of the final invoice. At this time it will become the property of the client. Upon payment of the full set-up fee the client is assigned full ownership rights to their website. The client understands that while they own the website, any elements within their site that hold existing copyrights are not transferred to them. Examples include, but are not limited to third party software and scripts, photographs, graphics, and other multimedia such as video and audio. In these cases, the copyright to any of these elements is not transferred to the client, but remains the property and copyright of their respective owners.

Upon uploading to the web server (putting the website live), and subsequent transfer of ownership, the client accepts full responsibility for the whole content of the website and any grievances arising as a result of this content, either in the United Kingdom, or any other country, will be the sole responsibility of the client. Additionally, Iris Website Design will take no responsibility for the content of the third party websites where links have been placed on clients´ websites.

It will be your responsibility to pay the renewal fees for web hosting and domain name registration. These will normally be billed directly to you.

If you would like to take over the management of your website once we have uploaded your site to the web host. After we have completed uploading your website you may change your password to maintain security. There is no charge for this service.

CONTENT OF YOUR WEBSITE
Iris Website Design are bound by UK and Spanish law. If we deem that any content you wish to include on your site is highly pornographic, may cause offence or be considered illegal in any way, we reserve the right to terminate the project. It is imperative that you discuss these matters with us before the commencement of the project.

All content provided by the client is the sole responsibility of that client and Iris Website Design shall not be liable for any legal issues, offence and disputes that may arise from this content now or in the future.
Iris Website Design reserves the right to include a small subtle text link to our site from your web pages. The text shall read 'Site design (and maintained) by Iris Website Design' and will be included at the bottom of your web page(s).

Upon receipt of payment of the full fee, the website becomes the property of the client. Iris Website Design reserve the right to display or exhibit any final product(s) to other potential clients except where doing so may violate any confidentiality agreements, which may be in force.

Iris Website Design do not provide the following web page content as standard in our normal website designs: flash, CGI scripts, e-commerce (credit card transactions etc.), plugins, Java or animation. If you do require any of the above content for your website please submit an e-mail for a quotation.

THIRD PARTY SERVICES
Should your project require third party services or software, you must pay for these directly to that third party. By incorporating any third party services or products into your website, you also agree to abide by that company's terms & conditions.

CANCELLATION OF YOUR PROJECT
Please advise us as soon as possible if you wish to cancel the project in which case you will be liable to pay for work done up to the cancellation date.

REFUNDS
Refunds on third party services (such as for domain name registration, software purchases etc.) are entirely decided by that third party and Iris Website Design cannot be held responsible for any money not refunded.

WHAT IS NOT COVERED
Errors that have occurred as a direct result of changes made to your site by you or a third party.
Web server faults that are due to the Web Hosting company.
Errors that have arisen due to unforeseen changes in internet software or hardware - such as new browsers or operating systems.

SEARCH ENGINE OPTIMISATION & SEARCH ENGINE SUBMISSION
Iris Website Design cannot guarantee any particular search engine ranking or placement.
The initial website content to which we apply search engine optimisation shall be supplied by the client.
The client understands that should the client make changes to any site text that we have search engine optimised, the client understands that these changes may have an adverse effect on their search engine ranking.
Submission to our list of search engines and directories does not guarantee entry.
Search engine submissions are carried out one time only per engine.
Iris Website Design cannot be held responsible for any loss financial or otherwise to your business due to an unexpected drop in your search engine rankings.

OUR GUARANTEE
If there are any errors on your website that are due directly to a mistake on our part, please advise us and we will undertake to rectify the error(s) within 5 working days FREE OF CHARGE.
